revised VAT Act, submitted for consultation by the Federal Council last spring, is due for evaluation.

At the start of 2006 the Swiss Solvency Test (SST) came into force with the revised law on the supervision of private insurers (Insurance Supervision
Act) and the associated ordinance. The SST focuses primarily on the nominal security of the insurer’s annual balance sheets, in order to avoid any
volatility which could involve dipping into share capital. Initially directed at private insurers, the question arises as to whether the SST rules
should also be applied to pension funds. How can pension funds face this change? What is the influence of the European Solvency II regime on the
Swiss solvency system?

Since the adoption of the new legal provisions in December 2005, companies have been and still are engaged in implementing, documenting and
assessing their internal control systems (ICS). Board members and management of companies which have implemented or concluded their ICS projects
are increasingly realizing that an internal control system is not only extremely valuable in relation to financial reporting, but offers security
and reliability in other important areas.

The annual ISIS tax conference addresses the increasing importance of international complexity and cross-border operations. In the morning, current
information and the latest developments from the international environment surrounding Switzerland (OECD, EU, DTA, foreign tax laws of important trading
partners) will be presented.
The events in the afternoon will focus on tax planning in relation to intellectual property law. Due to pressure exerted by the OECD and EU on traditional
planning approaches with companies in low-tax regimes, today the focus is on methods with an economically sound structure.

The complete revision of the applicable standards contained within the Swiss Code of Obligations will bring considerable changes and more structural
flexibility for existing GmbHs (limited liability companies) with effect from January 1, 2008. The object of the revision is convergence with the law
governing stock corporations, but at the same time maintaining the personal character of the GmbH and increasing its flexibility.

all companies listed on an EU exchange have been obliged to draw up their balance sheets in accordance with IFRS. However, even mid-sized companies who are
not listed on any stock exchange but are looking for investors, require credit or work with international corporate groups are coming under pressure to change
over to IFRS.

the Federal Council published its proposal for a further far-reaching revision of the legislation relating to equities and accounting on December 21, 2007.
In this seminar we normally focus on court rulings that affect statutory auditors, and case examples of auditors’ statements on overindebtedness.
